Directors

Directors refers in general terms to the Board of Directors of a company. This board is a managing organ of the company and is appointed by the shareholders in general meeting.
The directors, individually and as a board stand in a fiduciary capacity in their relationship with the company. In terms of various acts, they have certain duties and responsibilities. Various offences are prescribed for which the directors and officers of a company can be held liable, e.g. In terms of sect 50 of the act if the name of the company is not as prescribed on official company documentation, In terms of sect 204 of the act if minutes of company meetings are not kept, etc.
